Inspire International: Recurring Order/Autoship Agreement for Independent Influencers

Introduction:
This Recurring Order/Autoship Agreement ("Agreement") governs the terms and conditions for independent influencers ("Influencer") who participate in Inspire International's ("Company") e-commerce platform and elect to enroll in a recurring order or autoship program ("Program") for the purchase of Company products. This Agreement is designed to ensure compliance with Federal Trade Commission ("FTC") regulations, including but not limited to the Restore Online Shoppers' Confidence Act ("ROSCA"), and to establish clear expectations regarding recurring charges and payment obligations.
- Enrollment and Authorization:
1.1. Voluntary Participation: Participation in the Program is entirely voluntary. By enrolling, the Influencer acknowledges they have read, understood, and agree to be bound by the terms of this Agreement. 1.2. Express Informed Consent: The Influencer provides express informed consent to enroll in the Program and authorizes the Company to charge their designated payment method on a recurring basis as selected during enrollment. 1.3. Clear and Conspicuous Disclosure: Prior to enrollment, the Influencer will be presented with clear and conspicuous disclosures, including: * The frequency of recurring charges (e.g., monthly, bi-weekly). * The amount of each recurring charge. * A description of the products to be shipped. * The total cost of the recurring order, including any applicable taxes and shipping fees. * The process for canceling the Program. * Contact information for customer service. 1.4. Acknowledgement of Receipt: The Influencer will receive an email confirmation acknowledging their enrollment in the Program and summarizing the terms of the Agreement.
- Program Details:
2.1. Product Selection: The Influencer will select the products and quantities to be included in their recurring order. 2.2. Frequency: The Influencer will select the desired frequency of recurring shipments. 2.3. Payment Method: The Influencer will provide a valid payment method (e.g., credit card, debit card) for recurring charges. 2.4. Shipping:Products will be shipped to the address provided by the Influencer during enrollment. 2.5. Price Changes: The Company reserves the right to change product prices. Influencers will be notified of any price changes at least [Number] days prior to the next scheduled shipment.
- Cancellation and Modification:
3.1. Easy Cancellation: The Influencer may cancel or modify their participation in the Program at any time through their account settings on the Company's e-commerce platform or by contacting customer service via [Contact Method]. 3.2. Clear Cancellation Instructions: Clear and conspicuous instructions for cancellation will be provided to the Influencer. 3.3. Confirmation of Cancellation: The Influencer will receive an email confirmation upon successful cancellation. 3.4. Pre-Shipment Cancellation: Cancellations must be made prior to the processing of the next scheduled shipment to avoid charges.
- Payment and Charges:
4.1. Recurring Charges: The Influencer authorizes the Company to charge their designated payment method on the scheduled recurring date. 4.2. Payment Authorization: The Influencer represents and warrants that they are authorized to use the provided payment method. 4.3. Failed Payments: If a payment fails, the Influencer will be notified and given an opportunity to update their payment information. The Company reserves the right to suspend or cancel the Program if payment issues persist. 4.4. No Chargebacks: The Influencer acknowledges and agrees that chargebacks are not an acceptable method for resolving disputes or canceling the Program. Any disputes regarding charges must be addressed directly with the Company’s customer service. Initiating a chargeback without first attempting to resolve the issue with the Company will be considered a breach of this agreement and may result in the termination of the Influencer’s account and/or legal action. The Influencer agrees to pay all fees associated with a chargeback that is filed against Inspire International.
- Dispute Resolution:
5.1. Customer Service: The Influencer agrees to first contact the Company's customer service department to resolve any disputes related to the Program. 5.2. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Arkansas, United States.
- FTC Compliance:
6.1. ROSCA Compliance: The Company will comply with all applicable FTC regulations, including ROSCA, regarding recurring charges and online sales. 6.2. Material Changes: Any material changes to the Program or this Agreement will be communicated to the Influencer in a timely manner.
- Entire Agreement:
7.1. Complete Understanding: This Agreement constitutes the entire agreement between the Company and the Influencer regarding the Program and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
- Acknowledgement:
By enrolling in the Program, the Influencer acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
